These Terms and Conditions ("Terms") govern your access to and use of the websites, services, and deliverables provided by CoreShield Technologies ("CoreShield", "we", "us", or "our"). By accessing our website or engaging our services, you agree to these Terms.
1. Service Agreements
Specific services are governed by a separate written Statement of Work (SOW) or Master Services Agreement (MSA) that defines scope, deliverables, timelines, fees, and acceptance criteria. In the event of a conflict between these Terms and an executed SOW or MSA, the executed document controls.
2. User Responsibilities
You agree to provide accurate information, timely feedback, and reasonable access to systems and stakeholders required for us to perform our services. You are responsible for the lawfulness of any data or materials you provide to us.
3. Intellectual Property
Upon full payment of all fees due under a given engagement, ownership of bespoke deliverables created specifically for you transfers to you, except for our pre-existing tools, frameworks, and general know-how, which remain our property. You grant us a non-exclusive right to reference the engagement in our portfolio in a non-confidential manner.
4. Confidentiality
Each party agrees to keep the other party's confidential information secure and to use it only for the purposes of the engagement. We are happy to sign mutual non-disclosure agreements prior to detailed technical discussions.
5. Fees and Payment
Fees, payment milestones, and accepted payment methods are described in the applicable SOW. Late payments may accrue interest at the maximum rate permitted by law and may result in suspension of services.
6. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages. Our aggregate liability for any claim arising out of or related to an engagement is limited to the fees paid by you for the services giving rise to the claim during the three months immediately preceding the event.
7. Warranties
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, all services and deliverables are provided "as is" without warranty of any kind.
8. Termination
Either party may terminate an engagement for material breach upon thirty (30) days' written notice if the breach is not cured during the notice period. Termination details, including payment for work performed up to termination, are specified in the applicable SOW.
9. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Allegheny County, Pennsylvania.
10. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
